Corporate Action - Valour Terra (LUNA) SEK (ISIN: CH1114178804) - Voluntary repurchase offer
Further to the earlier information provided by the issuer Valour, the issuer is now confirming that it is offering to repurchase the financial instrument Valour Terra (LUNA) SEK at a purchase price of 0.01 SEK per security.
I want to sell my securities in the offer: Each holder has the option to participate in the repurchase offer and should contact his or her regular broker if the investor wishes to participate in the offer, i.e. to sell back the securities to the issuer at the offered price. If you want to participate in the repurchase offer, you should contact your broker. The deadline for participation in the offer is at 17:30 central European time on Wednesday, 31 August 2022 and the effective date will be Thursday, 8 September 2022.
I do not want to sell my securities in the offer: Investors who do not wish to participate in the repurchase offer do not need to take any action. Participation is voluntary.
What happens next? The following apply in respect of the securities not sold back in the repurchase offer. Since the securities were delisted during the second quarter of 2022, these may be held in an investment savings account (investeringssparkonto) until the sixtieth day after the end of the quarter in which the delisting took place (i.e. no longer than until the end of August 2022). Valour therefore intends to decide on redemption at a time that allows for the execution of such redemption within such timeframe. Such redemption will be mandatory. The redemption amount is still dependent on the performance of the underlying asset Terra (Luna) and can be determined as low as zero SEK. In the event you do not see any reason to await such developments, you may choose to participate in the repurchase offer.

Med hänvisning till tidigare information från emittenten Valour bekräftar emittenten nu att den erbjuder sig att återköpa det finansiella instrumentet Valour Terra (LUNA) SEK till en kurs motsvarande 0,01 SEK per värdepapper.
Jag vill sälja mina värdepapper i erbjudandet: Varje innehavare har möjlighet att delta i återköpserbjudandet, dvs. att sälja tillbaka värdepapperen till emittenten till det erbjudna priset. Om du vill delta i erbjudandet bör du kontakta din ordinarie mäklare. Tidsfristen för deltagande i erbjudandet är onsdagen den 31 augusti 2022 kl. 17:30 centraleuropeisk tid och dag för genomförande är torsdagen den 8 september 2022.
Jag vill inte sälja mina värdepapper i erbjudandet: Investerare som inte vill delta i återköpserbjudandet behöver inte vidta några åtgärder. Deltagande i erbjudandet är frivilligt.
Vad händer sedan? Beträffande de värdepapper som inte säljs tillbaka inom ramen för återköpserbjudandet gäller följande. Eftersom de finansiella instrumenten avnoterades under det andra kvartalet 2022 kan de förvaras på ett investeringssparkonto fram till den sextionde dagen efter utgången av det kvartal då avnoteringen ägde rum (dvs. inte längre än till slutet av augusti 2022). Valour avser därför att besluta om inlösen vid en tidpunkt som möjliggör genomförande av sådan inlösen inom denna tidsram. Sådan inlösen kommer att vara obligatorisk. Inlösenbeloppet för eventuella återstående värdepapper är fortfarande beroende av utvecklingen av den underliggande tillgången Terra (Luna) och kan bestämmas så lågt som noll kronor. Ser du ingen anledning att avvakta detta, kan du istället välja att delta i återköpserbjudandet.
